Terms & Conditions of Membership

1. Definitions:

“Application for Membership Form”: means the application form to be completed and submitted to LHS for review and consideration;

“Child Member” means a child between the ages of 1 and 6 years old whose parent or legal guardian is an existing Member and “Child Membership” shall be construed accordingly;

“Contract Term” means a period of twelve months commencing on the date the Membership is accepted, renewable on a yearly basis in accordance with these Terms and Condition;

“Data Protection Laws” means all applicable laws relating to the processing of personal data and privacy and electronic communications, including (as applicable):

    (a) the UK GDPR;
    (b)the Data Protection Act 2018;
    (c) the Privacy and Electronic Communications (EC Directive) Regulations 2003; and
    (d) all guidance and codes of practice issued by a supervisory authority relating to the laws referred to in (a) to (c);

“Force Majeure Event” means any act of God, flood, fire, explosion, war, invasion, riot, terrorism or other civil unrest, epidemic, pandemic, action by any governmental authority, national or regional emergency, strikes, industrial disturbance, or any other event that is beyond the reasonable control of LHS.

“Founder Member” means an individual that is invited to join LHS by the membership committee or Fulham;

“Fulham” means Fulham Stadium Limited and/or Fulham Football Club;

“Joining Fee” means the fee payable by a Member upon joining LHS, calculated by reference to their category of Membership, as set out in Appendix 1 and as amended from time to time;

“Intellectual Property” means all intellectual property rights owned by or vesting in a party, including rights in inventions and discoveries, patents, utility models, rights in designs, trademarks, service marks, signs, copyrights, rights in confidential information and know-how subsisting anywhere in the world;

“LHS” means Lighthouse Social, a trading name of Fulham Stadium Limited, whose correspondence address is Training Ground, Motspur Park, KT3 6PT;

“LHS Membership Committee”means those persons appointed by LHS from time to time to act as its membership committee and to advise LHS on community curation and Member experience;

“Member” means a person who has been approved by the LHS Membership Committee (including Founder Members, Under 30 Founder Members, Under 30 Members and Child Members) and “Membership” shall be construed accordingly;

“Membership Fee” means the fee payable by a Member for Membership of LHS, calculated by reference to their category of Membership and payable in advance on an annual or monthly subscription basis, as set out in Appendix 1 and as amended from time to time;

“Personal Data”means any information relating to an identified or identifiable natural person. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier;

“Stadium” means Craven Cottage, Stevenage Road, London, SW6 6HH.

“Terms and Conditions”: means the terms and conditions of Membership set out below.

“Under 30 Founder Member”: means a Founder Member between the ages of 25 and 30 at the time their Membership was approved by the LHS Membership Committee;

“Under 30 Member”means a means a Member between the ages of 25 and 30 at the time their Membership was approved by the LHS Membership Committee;

“Website”means the official LHS’ website at Lighthousesocial.com

“Working Day”means a day other than a Saturday, Sunday or a public holiday in England.

2. Agreement to these Terms

2.1 Upon an application for Membership being accepted, the Member shall be bound by these Terms and Conditions, which shall constitute an agreement between the Member and LHS.

2.2 A copy of these Terms and Conditions will be available on the Website or upon request to LHS. Whilst LHS will use reasonable endeavours to ensure that Members are aware of any changes to these Terms and Conditions, it is the Member’s responsibility to ensure that they have an up to date version of these Terms and Conditions, including any amendments to them.

2.3 Applications for Membership will be reviewed by the LHS Membership Committee. Membership shall at all times be subject to compliance with the Club Rules and these Terms and Conditions, as well as the ongoing review of the LHS Membership Committee. The LHS Membership Committee shall determine applications for new Membership, renewals of Membership and continuation of Membership at its absolute discretion. Its Membership decisions shall be final and binding, it shall not be required to provide feedback on any decision and LHS shall have no liability for any decision made.

3. Membership

3.1 Membership shall be for an initial term equal to the Contract Term. The Contract Term shall be 12 months, unless terminated early in accordance with clause 3.5, below. For the avoidance of doubt, where any new Member seeks to terminate their Membership within the first 12 months (including, but not limited to, any low attendance at LHS and/or any low usage of any services connected to LHS and/or any other reasons associated with actual or projected usage of the Membership), they shall remain liable to pay the Membership Fees, in full, for the remainder of the initial 12 months. This applies to all categories of Membership and applies regardless of whether the Member pays their Membership Fees annually, or monthly.

3.2 Before or upon being accepted as a Member, the Member shall provide LHS with important details, which including a valid email address, a contact telephone number and credit card details from which payments can be taken by LHS. Members are responsible for promptly updating LHS if their personal contact and/or payment information changes at any time.

3.3 LHS shall take the Membership Fee from the Member’s credit card. Membership Fees shall be inclusive of any VAT and are non-refundable. Upon expiry of the Contract Term, this agreement shall be automatically renewed for a period of one (1) year and the Membership Fee for shall be taken from the Member’s credit card for the next Contract Term.

3.4 LHS reserves the right to increase the Membership Fee at any time, in which case it will notify Members of such change. Any such increase shall be effective from the next payment of the Membership Fee.

3.5 Save in the circumstances set out in clause 3.1 in respect of new Members, a Member may terminate his/her Membership at any time, by giving a minimum of 30 days written notice to LHS. Where applicable, monthly Membership Fees shall be payable during any notice period.

3.6 Upon termination of Membership (including following any notice period), Membership shall terminate and any and all fees outstanding shall be immediately payable and the balance must be cleared.

3.7 Where the Member fails to pay the Membership Fee and/or satisfy any outstanding charges within the time required in these Terms and Conditions or by LHS from time to time, LHS reserves the right to suspend the Membership until payment is received. Where fees remain outstanding for more than three months, LHS reserves the right to terminate the Membership.

3.8 No waiver of any default or breach by LHS shall be construed to be a waiver or release of any other subsequent default or breach by a Member and no failure or delay by LHS in the exercise of any remedy provided or as available in law or in equity shall be construed a forfeiture or waiver thereof or of any other right or remedy available to LHS.

3.9 A Member shall be entitled to all the rights and privileges LHS grants to a person in his or her capacity as a Member and shall be bound by these Terms and Conditions but shall have no proprietary rights in any of the premises or in respect of property of the Club.

4. Your Data and Privacy

4.1 LHS values the privacy of all Members, their guests and other visitors who enjoy LHS spaces, services, Website and application. Save that LHS will process any information gathered in accordance with the Fulham Pier Privacy Notice and Data Protection Laws, LHS will contact Members about LHS and other events taking place at the Stadium. Members who do not wish to receive these updates can opt out of receiving all communications by contacting LHS.

5. Conduct

5.1 All Members agree to conduct themselves in an appropriate manner when visiting LHS.

5.2 Without prejudice to any other remedies it may have, LHS shall have the right to refuse entry to or require the removal of a Member where his/her conduct (or the conduct of his/her guest/s) falls below the standards of behaviour expected by LHS. By way of non-limiting examples, the following conduct shall be deemed unacceptable:

5.2.1 any offer or distribution (either free or for sale by any person) of any consumer article, commercial product or promotion of any goods or services of any nature;

5.2.2 being (or appearing to be) intoxicated, impaired and/or asleep by reason of any substance (whether alcohol, drugs or otherwise) and/or any illness;

5.2.3 any smoking, vaping or consumption of alcohol or drugs;

5.2.4 the display of any banner or flag that bears material or slogans that are offensive, obscene, abusive, racist, political, discriminatory or deemed by LHS in its sole discretion to be inappropriate;

5.2.5 the use of foul, obscene, abusive, racist and/or discriminatory language and/or gestures;

5.2.6 any fighting, aggressive and/or inappropriate behaviour of any nature (whether physical and/or verbal);

5.2.7 any theft or vandalism of any property at the Creche, LHS or the Stadium; or

5.2.8 any abuse towards any LHS staff.

5.3 In the event of any conduct of the type described in clause 5.2 (or any other behaviour which, in the opinion of LHS, is unacceptable) LHS reserves the right to eject the Member or guest from LHS and/or the Stadium and/or suspend and/or terminate their Membership.

5.4 If a Member is placed on suspension for any reason, LHS reserves the right, in its absolute discretion, to charge and collect such dues and/or membership fees as may fall due during the period of suspension.

6. Liability

6.1 Save in cases of death or personal injury caused exclusively by the negligence of Fulham or LHS and/or where the liability of any of the same cannot be lawfully excluded or limited:

6.1.1 the maximum liability of LHS or Fulham to any Member in respect of any matter arising out of or in connection with the Club Rules and/or these Terms and Conditions shall be an amount equal to the Membership Fee paid in the year in which such liability accrued; and

6.1.2 Members shall hold harmless, Fulham and LHS and shall not issue or threaten any claims against them in respect of any matter arising out of or in connection with the Club Rules and/or these Terms and Conditions.

6.2 To the fullest extent permitted by law, Members agree to release, waive, discharge, defend, indemnify, and hold harmless LHS and Fulham (including its staff and/or subcontractors) from all liabilities, losses, damages, costs and expenses arising out of or in connection with any Membership, attendance at LHS, use of any services at LHS and/or any breach by any Member of the Club Rules and/or these Terms and Conditions.

7. General

7.1 No failure or delay by either party to these Terms and Conditions in exercising any of its rights under these Terms and Conditions shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms and Conditions by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.

7.2 To the extent any Member receives or becomes aware of any confidential information belonging to LHS or Fulham, all such information must be kept confidential and must not be disclosed to any third party.

7.3 All notices given by a Member shall be in writing and shall either be delivered by email to membership@lighthousesocial.com or by courier or by registered mail to Lighthouse Social, Motspur Park, KT3 6PT. Save in respect of delivery by courier (where the deemed date for service shall be the date recorded by such courier) the deemed date for service by any such methods shall be two (2) days after being sent to the intended recipient.

7.4 If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Terms and Conditions.

7.5 These Terms and Conditions constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

7.6 These Terms and Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

7.7 LHS may update and amend these terms and conditions from time to time. LHS will notify Members either on the telephone or in person of any material changes.

7.8 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or its subject matter or formation.
